CODE OF ETHICS

 

PURPOSE AND CONTENTS

Aware of the need to manage its activities and impacts with a view to long-term success, Eurovetrocap has chosen to direct its growth strategies towards a sustainable and transparent business model, capable of combining economic, social and environmental goals.
Eurovetrocap believes that ethics and transparency in business conduct are essential to achieving its objectives. Sustainability cannot exist without ethics.
This document outlines the guidelines and rules to be followed by Eurovetrocap collaborators and third parties the company interacts with, to prevent unethical conduct.
This Code of Ethics consists of the following sections:

RECIPIENTS, VALIDITY AND SCOPE OF APPLICATION

The Code of Ethics, valid both in Italy and abroad, defines the guidelines that must inspire Eurovetrocap’s activities and guide the conduct of its collaborators and all other business stakeholders.
It is directed to corporate bodies and their members, collaborators, temporary workers, consultants, agents, and anyone who may act on behalf of Eurovetrocap.
Eurovetrocap requires all third parties with whom it establishes relationships to act according to the principles outlined in this Code. Third parties will be duly informed of the Code.

MISSION AND VISION

Design, quality, attention to sustainability and innovation are the distinctive features of Eurovetrocap packaging.
Eurovetrocap’s goal is to provide its clients—from concept to launch—with a high level of service wherever they are located and regardless of their size, helping them imagine, create and customize innovative and environmentally friendly packaging solutions for the cosmetic and makeup market.

Eurovetrocap avoids any discrimination based on age, gender, sexual orientation, health, race, nationality, political opinions, and religious beliefs.

All employees must comply with laws, the Code of Ethics, and internal regulations. Eurovetrocap’s interests never justify dishonest behavior.

Eurovetrocap treats customers fairly and ensures product/service quality. It emphasizes transparent communication, respect, and collaboration.

SUPPLIERS, PARTNERS AND EXTERNAL COLLABORATOR RELATIONS
Suppliers are selected based on quality, price, sustainability, and reliability through objective and impartial criteria.

Recruitment
Staff recruitment is based on objectivity, skills, and professionalism, ensuring equal opportunity.

Management & Development
Development is based on merit, with training programs to foster skills.

Safety & Health
Eurovetrocap promotes a safety culture and awareness of risks. It ensures safe and dignified working environments.

Privacy Protection
The company complies with personal data confidentiality regulations for its employees.

Eurovetrocap protects employees’ moral integrity, ensuring respectful working conditions.

EMPLOYEE RESPONSIBILITIES TOWARDS THE COMPANY
Diligence and Good Faith
Employees must act in good faith, fulfill contractual obligations, and know and comply with the Code of Ethics.

Conflict of Interest
Employees must avoid conflicts of interest and not exploit their position for personal gain.
Examples include:

  • Accepting money, gifts, or favors from business partners
  • Using their position to benefit themselves

In such cases, the company must be informed.

Confidentiality
Employees must maintain confidentiality about company activities and documents.

Protection of Company Assets
Employees must protect company assets and use them responsibly.
For IT, they must:

  • Follow security policies
  • Avoid offensive or harmful messages or internet use

GIFTS
Offering or accepting gifts or favors is generally not allowed unless they fall within normal business practices.

RELATIONS WITH INSTITUTIONS AND PUBLIC ADMINISTRATION
Relations must comply strictly with laws. Financial records must be accurate and transparent. Eurovetrocap cooperates with authorities during inspections.

RELATIONS WITH NON-PROFIT ORGANIZATIONS
Eurovetrocap may support non-profit organizations that provide cultural, social, or environmental value, after appropriate checks.

IMPLEMENTATION AND MONITORING

SUPERVISORY BODY

  • A Supervisory Body is established with duties such as:
  • Monitoring compliance and promoting understanding of the Code
  • Investigating violations and reporting to the Board for sanctions
  • Proposing updates or improvements to the Code
  • Requesting audits in case of dysfunctions or violations
  • Supporting internal policy development for risk prevention
  • Suggesting disciplinary measures for violations

The Supervisory Body is appointed by the Board of Directors.

COMMUNICATION AND TRAINING
The Code is communicated to all relevant internal and external parties. HR ensures understanding and training on ethical principles.

REPORTING VIOLATIONS
Code recipients must report any violations to the Supervisory Body, which will evaluate and investigate while protecting anonymity.

SANCTIONS
Eurovetrocap will take appropriate disciplinary action for violations, regardless of criminal proceedings, based on severity and recurrence, in compliance with applicable labor laws and contracts.
The provisions of this Code also apply to temporary workers, who must comply with its rules. Violations by temporary workers are sanctioned by their respective employment agencies, which are contractually obliged to enforce compliance.
As for Directors and Auditors, violations may lead to proportional sanctions, including dismissal for cause. Eurovetrocap may seek damages resulting from unlawful conduct.
For suppliers, collaborators and external consultants, Code violations may result in contract termination, without prejudice to Eurovetrocap’s right to claim damages.

EFFECTIVENESS, UPDATING AND MODIFICATIONS
This Code of Ethics is adopted by the Board of Directors and is effective immediately. Any updates must also be approved by the Board and will be made available on the company’s intranet and website (www.eurovetrocap.com) for full stakeholder accessibility.
